Please read these Terms of Service carefully before using the Prevaylos platform. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the platform.
By creating an account, accessing, or using any part of the Prevaylos platform (“Service”), you (“User” or “Customer”) agree to be legally bound by these Terms of Service (“Terms”) and all policies incorporated herein by reference, including our Privacy Policy.
These Terms constitute a binding agreement between you and Prevaylos Inc., a Michigan S-Corporation (“Prevaylos,” “we,” “us,” or “our”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
Prevaylos provides a cloud-based B2B SaaS transportation management platform designed for the auto transport industry. The Service includes tools for order management, carrier dispatch, load board operations, quoting, invoicing, compliance tracking, reporting, and related integrations.
The platform is intended for licensed auto transport brokers, carriers, dealers, fleet operators, and logistics professionals. Access is provided on a subscription basis.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.
To access the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You must notify us immediately of any unauthorized use of your account at [email protected]. Prevaylos is not liable for any loss resulting from unauthorized access to your account.
You may not share account credentials with third parties or create accounts using false information. We reserve the right to terminate accounts that violate these requirements.
Access to the Prevaylos platform requires a paid subscription. Subscriptions are billed on a monthly basis in advance. By subscribing, you authorize us to charge your payment method on file for the applicable subscription fee each billing cycle.
No Refunds on Partial Months. All subscription fees are non-refundable. If you cancel your subscription, you will retain access to the Service through the end of your current paid billing period. No prorated refunds or credits will be issued for partial months of service.
Prevaylos reserves the right to change subscription pricing with 30 days’ advance notice to active customers. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
Any per-VIN transaction fees or add-on charges will be disclosed at the time of purchase and billed in accordance with your plan.
You agree not to use the Service to:
Violation of this section may result in immediate suspension or termination of your account without refund.
All content, software, design, trademarks, logos, and materials comprising the Prevaylos platform are the exclusive property of Prevaylos Inc. or its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property.
You retain ownership of any data you upload to the platform (“Customer Data”). You grant Prevaylos a limited, non-exclusive license to process and store your Customer Data solely to provide the Service.
You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.
Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting [email protected].
Prevaylos may suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms, engage in fraudulent activity, or if continued access poses a risk to the platform or other users.
Upon termination, your right to access the Service ceases immediately. We may retain your Customer Data for up to 90 days following termination before deletion, unless legally required to retain it longer.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREVAYLOS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PREVAYLOS IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Michigan.
You agree to submit to personal jurisdiction in Michigan and waive any objection to venue in such courts.
